1. Introduction

  1. Welcome to Sonance! We're thrilled that you want to use our music samples. This license agreement explains what you can and cannot do with our samples. By using our website, downloading or using our samples, you agree to the terms of this Agreement.
  2. For the Sample specification and purchasing price, please see the purchase and download page (a.k.a. shopping cart) on our website.

2. Definitions

  1. The following capitalized terms have the following meanings:

"Sonance":            the “Licensor”, that’s us;
"You":                       the user of our website, platform, app, services and Samples;
"Samples":            all sounds, loops, and other audio files that we make available. Samples 

can contain drums, presets, midis, vocals and more.

3. What You Can Do

  1. When you purchase our Samples, you receive a non-exclusive, personal and non-transferable license to use them in your own music productions. This means:  
  2. You can use the Samples in your music (both commercial and non-commercial);
  3. You can mix, edit, and modify them as you see fit;
  4. You can release music that includes our Samples on platforms such as Spotify, YouTube, SoundCloud, etc.;
  5. You can download the Samples after purchasing once and within 72 hours after purchase. Make sure you save them well! If you lose access to your computer, drive, data and the Samples, you have to repurchase them.
  6. You do not have to pay us royalties for using our Samples in your music and you do not need to credit us in your productions.
  7. If a rights claim is placed on your track due to in connection with the use of our samples, you may use this license agreement (and the invoice and payment slip) as proof of usage rights to dispute the claim with your distributor or DSP.

4. What You Cannot Do

  1. To keep things fair, there are also restrictions:
  2. Purchasing the Sample may only be done for the use in your music, not for other reasons;
  3. You may not re-recorded or re-produce the Samples;
  4. You may not resell or distribute the Samples as standalone files (no reselling, redistribution, or offering the Samples as part of a new sample pack), regardless if the Samples are re-recorded, re-produced or altered;
  5. Sell the Samples as or under a NFT is not allowed;
  6. You may not give the Samples to others. Also, no peer-to-peer sharing;
  7. You may not claim copyright, neighboring rights or (other) ownership of the original Samples and cannot grant sublicenses;
  8. You may not use the Samples in AI training or machine learning projects;
  9. Don’t scrape our website, use spiders, bots and that kind of harmful stuff;
  10. You should in any case refrain from using the Samples in a way that is damaging or competitive to us.
  11. You may not incorporate the Samples into software or applications that allow others to use them outside of this license. 
  12. You may not use our services and Samples if you were directly or indirectly banned, suspended or removed from our platform or if we have denied access or use of the Samples before. This also means that you cannot make multiple accounts or otherwise try to circumvent these measures and our decisions in this regard.

5. Ownership Rights

  1. All rights to the Samples remain with Sonance. Meaning: the rights stay with us, but you can use the Samples. When you include the Samples in your music, the Samples will not become your either.
  2. You only receive a non-exclusive, personal and non-transferable license to use them under this Agreement, after purchasing the Samples. For the avoidance of doubt: ownership of the intellectual property and of the digital carrier and/or reproduction of the Samples are explicitly not transferred to you by purchasing the Samples. This also means that you cannot claim any rights in and to the individual parts of a Sample or the Sample itself. So, no flagging others! 

6. Purchase and payments

  1. You can purchase the Samples on our website, and in some cases directly from us.
  2. When you make such a purchase, use our website and platform or contact us, we may file your data to provide our services.
  3. In any case, you may only use the Samples after acceptance of this Agreement and full and timely payment to us.
  4. All payment costs, such as banking and transfer costs, are borne by you.
  5. Any discounts or payment terms shall lapse and revoke immediately if you do not pay fully or in time or if you do not comply with the terms of this Agreement.
  6. The payments required for the purchase of Samples do not include any sales that may be due in connection with any purchase from us. If Sonance determines it has a legal obligation to collect a sales tax from you in connection with the Agreement, we shall collect such this in addition to the payments required. We emphasize that this won’t be necessary, as we grant licenses and are paid for our music services rather than selling products, but we cannot guarantee this.
  7. If any services, or payments for any services, under the Agreement are subject to any additional taxes in any jurisdiction and you have not remitted such taxes to us, you will be responsible for the payment thereof and any related penalties or interest to the relevant tax authority, and you will indemnify us for any liability or expense we may incur in connection with such payments. 
  8. Based on Dutch tax law, the sale of our licenses qualifies for a VAT exemption under the rules for composers and music rights holders. However, should this change or additional obligations arise, we will notify you accordingly.

7. Warranties

  1. We have composed the Samples with great care. However, we cannot guarantee that they are flawless or fit for your production. We do not guarantee any results, financial or creative or success either.
  2. You guarantee Sonance that you the Samples will not be directly or indirectly sold or distributed by you and you guarantee that you have protection in place to prevent such occurrences. As mentioned above, the license is personal to you as a buyer. If other people or companies want to use our Samples, they need to purchase them from us.
  3. You furthermore guarantee us that you are legally competent, authorized to dispose or legally authorized and of legal age to agree to this Agreement and to purchase the Samples from us, or that if you are under the age of 18 and do not meet the other requirements, you have obtained consent from a parent or legal guardian to purchase the Samples and enter into this Agreement.
  4. You also guarantee us that your use of our website and of the Sample is in line with all applicable treaties, directives, laws and regulations.

8. Liability

  1. You use our Samples at your own risk. We are not liable for any damages or claims arising from the use of our Samples.
  2. If we terminate this Agreement (and thus the license to use the Samples), we are not liable for any damages, including missed profits, marketing and promotion budget, deals with and payments to third parties, and any other indirect damages such as reputation damages.
  3. If your guarantees to us are incorrect or if we suffer any damages from your actions or omissions, you are liable for all of our damages, including the full discovery and legal fees and you will have to reimburse us for it on first request. You indemnify us for such occurrences.
  4. If something is wrong with a Sample, for example if the music file is corrupt, you need to make a screenshot of this and send it to us within 72 hours after your purchase or download. If you do not complain within this term or do not comply with this clause, we will not be liable to you.
  5. We are not liable for any delay or failure to perform resulting from any event or circumstance, regardless of whether it was foreseeable, that was not caused by Sonance and that prevents us from complying with any of its obligations under this Agreement. Force majeure examples are hacks, DDOS attacks, viruses, power-outs, strikes, government measures, software failures and all other things out of our hands.

9. Termination of the license

  1. If you violate these terms, your license automatically terminates. In that case, you must cease using our Samples, and we may take legal action. For the avoidance of doubt; any use outside or without a license is deemed to be an infringement of this Agreement and our intellectual property.
  2. When we terminate this Agreement, you do not get your money back.

10. Governing Law

  1. This agreement and all agreements, claims and procedures following therefrom are solely governed by Dutch law. 
  2. Applicability of the Vienna Sales Convention is excluded and thus not applicable to our Agreement.

11. Competent court

  1. Any disputes between us may exclusively be handled by the court in Amsterdam, the Netherlands.

13. Final Provisions

  1. We may update this Agreement from time to time, and if we do, we will notify you via our website and if you have an account with us, via e-mail too. 
  2. In the event you do not agree to any changes after receiving such notice thereof from us, you must stop using the Samples, our website, platform, etc. If you don’t, your continued use of means you accept such changes.
  3. If any part of this Agreement is found to be invalid, the rest remains in full effect. The invalid clauses will automatically be replaced by a clause that’s valid and closest to the invalid clause.
